The meeting of the Helen Matthes Board of Directors was called to

order on December 15, 2009 at 6:15 p.m. by President Gloria Bauer with roll

call showing that board members physically present were Gloria Bauer,

Rachael Fearday, Dana Keller, and John Latta as well as Director Jeanne

Hamilton. Those absent were Charlie Bovard, Karen Luchtefeld, Ellen Welton,

Rod Wiethop, and Bob Willenborg.

There was no public comment.

At 6:17 p.m. it was determined that without a quorum we would have

to wait and approve the December bills in January.

Bauer moved to go into executive session to discuss property and

personnel issues pursuant to sections 2(c)(1) and 2(c)(5) of the Open

Meetings Act; this was seconded by Keller with other members agreeing.

At 7:06 p.m. Bauer moved to leave executive session and this was

seconded by Fearday. All agreed.

Immediately following this Bauer made a motion to adjourn the

meeting. After Fearday seconded this all members said ‘aye’.
